Company Registration Process in Italy
Registering a company in Italy involves several legal and administrative steps. Below is a general outline of the process:
1. Choose the Legal Form
The most common types of companies in Italy are:
S.r.l. (Società a responsabilità limitata) – Limited liability company
S.p.A. (Società per azioni) – Joint-stock company
Individual sole proprietorship – For freelancers or small businesses
2. Draft the Company Statute
You must prepare:
The Articles of Association (Statuto)
The Company Incorporation Act (Atto costitutivo)
These documents outline the company’s name, registered office, share capital, business purpose, management structure, and other legal elements.
3. Notary Public Authentication
A notary public in Italy must notarize the company’s founding documents. This is a mandatory step.
4. Obtain Tax Code and VAT Number
You must apply for:
Codice Fiscale (Tax Identification Code) for shareholders and directors
Partita IVA (VAT number) for the company, through the Agenzia delle Entrate
5. Register with the Business Register (Registro delle Imprese)
The notary submits the company documents to the Chamber of Commerce (Camera di Commercio) to register the business. After registration, the company is officially incorporated and receives:
A Company Registration Number
An Economic and Administrative Index number (REA)
6. Open a Company Bank Account
You must open a dedicated business bank account in the company’s name and deposit the share capital.
7. Social Security and Insurance Registration
If the company hires employees, it must register with:
INPS (National Social Security Institute)
INAIL (Workers’ compensation insurance)
Optional: SCIA Declaration (for certain activities)
If your business requires a specific license or operates in regulated sectors (e.g., food, retail, construction), a SCIA (Certified Start of Activity Report) must be submitted to the municipality.
